Venue hire, Rental & Shooting conditions

• These Venue hire, Rental & Shooting conditions apply to all offers, contracts and collaborative projects, where Nxt Museum acts as the supplier of products and/or services,regardless of their nature or name.

• Please do not touch the artwork.

• A booking cannot be confirmed until a completed and signed agreement has been returned together with a deposit equal to 10% of the total fee (as agreed on the form).

• If you do not meet payments in accordance with these terms and conditions and/or do not return a signed copy of the agreement by the stated deadlines, Nxt Museum reserves the right to cancel the event, filming or photography in writing (also by email). 

• All charges are subject to Value Added Tax at the current rate.

• Nxt Museum has the right to decline requests for events, filming and/or photography within its premises at any time.

• Nxt Museum reserves the right to withdraw the use of event spaces if, in the opinion of Nxt Museum, you have misrepresented the purpose of the booking. You may not sub-let or further offer for hire any accommodation.

• Once the request has been examined and the conditions for the event and/or shoot have been approved, Nxt Museum issues a permit for (a) the event and/or (b) shooting of the photographs and/or video and indicates the credits that are to be used, mentioning Nxt Museum in the final product.

• All organised filming or photo shoots inside Nxt Museum (for instance, for news coverage, music videos or school projects) require a staff member escort, unless you have permission from Nxt Museum to shoot independently. 

• Permission to shoot for purposes other than those strictly related to the promotion of Nxt Museum, or for personal use and study, are subject to the payment of a fee, which will be indicated in advance to the applicant in a special cost estimate.

• Nxt Museum reserves the right to establish means and times that are compatible with the need to ensure full public access to the museum spaces, and to safeguard the integrity and condition of the rooms and the artistic assets they contain.

• You must not interfere with the normal use of Nxt Museum.

• If the photos and/or films are to be shot when the museum is closed to the public, the overtime costs for security staff and attendants, which are quantified by Nxt Museum in advance in a special cost estimate and invoiced on the basis of actual costs, are payable by the applicant.

• The event, filming or photography must end at the agreed time. Upon any extension of time or failure to vacate the premises at the agreed time, Nxt Museum reserves the right to make an additional charge (based on a percentage of the fee) plus taxi fares for staff). You agree to reimburse all expenses incurred by Nxt Museum resulting from a breach of your obligations hereunder including (without limitation) any additional payments to staff. 

• You undertake to send Nxt Museum a copy of any footage free of charge for its archive & portfolio and you grant Nxt Museum the free and irrevocable right, for the full legal term of copyright (including any extensions, revivals or renewals thereof), to use, edit, reproduce the footage (and the musical composition embodied in the film) and present the same to the public for Nxt Museum’s own purposes absolutely (including but not limited to marketing purposes).

• You agree to take all reasonable measures to ensure that you do not damage the reputation of Nxt Museum nor shall you do anything to prejudice or damage our logo, marks, brand or reputation and you agree that we shall have the right at our election on reasonable notice to review the final cut of the film or photography for factual accuracy and to require reasonable changes thereto.

• You must satisfy yourself that our premises are fit and safe for your purpose and carry sufficient insurance to cover your liabilities during the event, filming and/or photography period. If you fail to arrange for an insurance prior to commencing the event, filming or photography, you agree to pay on demand the full cost of such insurance as we may arrange at your expense.

• You must satisfy yourself that you have the intellectual property and other licences and permissions you require for your purposes. 

• Your right to film or photograph in Nxt Museum and to use the material you derive from filming or photographing will be limited to the purposes you describe in your application.

• You will be wholly responsible for any model releases or other permissions that may be necessary to permit any individuals or other subject matter to be filmed, photographed (e.g. no children will be filmed without parental consent) and/or used in the footage (copies of which must be provided to and approved by us on demand) and you
  must comply with any conditions imposed by any release, licence or permission that has been obtained for these purposes.

• You must not change our premises in any way without our consent and you will be required to clear all your equipment and litter from the premises and fully restore them after the event, filming and/or photography or meet our costs in doing so. We will supervise any changes or restoration permitted or required.

• You shall safely remove all equipment and additional lightings from the space once your event or filming period is over. If equipment is to be kept on site overnight then Nxt Museum shall indicate where it should be stored. In some cases you may have to remove it at the end of each day off site at your own costs.

• Nxt Museum reserves the right to remove any unauthorised items and charge at cost for any damage incurred.

• Items must be delivered and collected within the agreed rental period of the event, unless otherwise approved in writing by Nxt Museum. Load-in and load-out should take place during the client’s booked rental hours. If delivery prior to the event or collection after the event is required, this must be arranged in advance using the provided delivery and collection templates and approved by Nxt Museum. Nxt Museum reserves the right to charge a storage fee of €150 (+VAT) per day for any items stored on-site outside of the agreed rental period. All leftover items must be packed and clearly labelled with the provided collection template. Items must be collected within the agreed timeframe. Nxt Museum reserves the right to dispose of any items not collected within the agreed timeframe and charge a disposal fee of €300 (+VAT).

• You will adhere to Nxt Museum’s relevant policies (for instance relating to health & safety). You are responsible for informing your guests and other representatives who are present at Nxt Museum’s premises, of the contents of these terms and conditions.

• You will ensure that the event, filming and/or photography will not be conducted and that your guests will not behave in a way which will or may constitute a breach of the law or cause a nuisance or be an infringement of any licence held by Nxt Museum. In particular (but without limitation) you shall ensure that there is no betting or gaming.

• Nxt Museum reserves the right to exclude or eject any persons from the event, filming and/or photography, whom it reasonably considers to be objectionable (including any person engaged by you to provide entertainment or perform any other duties at the event, filming and/or photography). You will be liable for any liability arising thereby and shall indemnify Nxt Museum accordingly except where you establish negligence or bad faith by Nxt Museum.

• You must notify us immediately of any damage you cause and not attempt to remove or repair anything yourself. You shall bear the full costs of repair.

• You must comply with our directions for the safety of visitors, museum staff, our collections and premises. 

• Nxt Museum is a non-smoking venue and e-cigarettes must not be used within the venue. This policy will be strictly enforced. We will direct you as to where you may smoke and consume food and supervise strictly the filming of any object in the collections. 

• Nxt Museum works with preferred suppliers on catering services. All suppliers have the right to quote on the event, filming and/or photography.

• No food or beverages ((non-alcoholic) drinks, wines and spirits) may be brought into the venue by you or your guests without the prior written consent of Nxt Museum. If you are allowed to engage the services of an alternative catering provider, you shall be responsible for this provider’s quality and compliance with any food safety legislative requirements and any instruction given by applicable authority. In addition, a minimum buyout of Nxt Museum’s catering partner is required, who is also entitled to charge a fee for the use of the kitchen facilities. 

• You agree and acknowledge that due to the delicate nature of the artwork on view, additional light sources may not be permitted in certain rooms. You will therefore seek our prior approval to bring equipment on site, for all power and other supplies and any other needs. 

• Nxt Museum works with preferred suppliers on hardware and audiovisual equipment. All suppliers have the right to quote on the event, filming and/or photography.

• You must supply in advance full details of the identities of members of your film or photography crew and their consent for us to make security checks. Members of your crew who have not been security cleared may be refused access. 

• We request you to provide prior notice for all vehicles, caravans & trailers you intend to bring and park on site, so we can accommodate if possible.

• You should please take particular care not to interfere with our fire detection/prevention systems or to cause any unwarranted sounding of our fire alarm. Significant costs could be incurred due to delays in production if the electricity falls out, every time our alarm is sounded and/or our premises are evacuated. You may be liable for our loss if our premises are unnecessarily evacuated because of any negligent or reckless action on the part of your film or photography crew.

• Upon receipt of your signed acceptance of our proposal for event, filming & photography at Nxt Museum you may terminate the agreement in writing without liability not less than sixty (60) days before the hour at which filming or photography is about to commence.

• If the Client cancels the booking more than sixty (60) days prior to the scheduled event date, the booking deposit of ten percent (10%) of the total fee will be retained by Nxt Museum. If cancellation occurs between sixty (60) and thirty (30) days prior to the event date, the Client will be liable for fifty percent (50%) of the total fee. If cancellation occurs between twenty-nine (29) and seven (7) days prior to the event date, the Client will be liable for seventy-five percent (75%) of the total fee. If cancellation occurs less than seven (7) days prior to the event date, the Client will be liable for one hundred percent (100%) of the total fee.

• A confirmed booking shall only be deemed to be cancelled upon Nxt Museum’s confirmation of receipt of a written notification (either by email or regular mail) of the cancellation.

• Nxt Museum reserves the right to cancel an option for event hire and/or any booking without any liability to you if:

• you do not return the agreement duly signed by the appropriate officer within fourteen (14) days of receipt;

• you do not pay the deposit invoice within five (5) days of its issue date;

• you fail to supply any reasonably requested information regarding the event, filming or photography’s arrangements (including (where requested) evidence of appropriate insurances) within a reasonable time following request;

• a force majeure event arises and both parties cannot recommence performance or observance as soon as practicable (for instance agree on a new date for the event, filming or photography within twelve (12) months);

• you appear to have or have become bankrupt or insolvent.

• You may not assign, transfer or sub-contract your rights and/or obligations under these terms and conditions without the prior written consent of Nxt Museum.

• If the expression “you” includes more than one person those persons shall be jointly and severally liable under these terms and conditions.

• No part of any film or photograph containing Nxt Museum’s venue, staff and items may be distorted, manipulated, used within other programmes, re-used, lent or sold under any circumstances without permission from a representative of Nxt Museum. If you contemplate that film or photograph taken at Nxt Museum will be flipped, inverted, manipulated, altered or subject to special effects in any way whatsoever we will require to know your intentions in advance and reserve the right, without liability, to decline the permission to filming or photography to proceed.

• You shall (i) hold the Confidential Information in strict confidence and not disclose or cause or permit the disclosure of the Confidential Information, except with the prior written consent of Nxt Museum and (ii) do anything reasonably required by Nxt Museum to restrain a breach of confidentiality by any person. “Confidential Information” means any information of a non-public, confidential or proprietary nature, whether of commercial, financial or technical nature, supplier, product or production-related or otherwise, disclosed by Nxt Museum. You  shall not use Confidential Information for purposes other than for exercising your rights or performing your obligations under this Agreement or as required by law. You shall treat the Confidential Information with at least the same degree of care as you would use in respect of your own confidential information of similar importance, but in any event a reasonable level of care. You shall not disclose, publish, disseminate or make accessible the Confidential Information, in whole or in part, in any way or form, to third parties other than to your employees or professional advisers who have a need-to-know in connection with the performance of your obligations under this Agreement. On termination of the agreement, each party shall (a) return to the other party all documents and materials (and any copies) containing, reflecting, incorporating or based on the other party’s Confidential Information and (b) erase all the other party’s Confidential Information from computer and communications systems and devices used by it, including such systems and data storage services provided by third parties (to the extent technically practicable), provided that a receiving party may retain documents and materials containing, reflecting, incorporating or based on the disclosing party’s Confidential Information to the extent required by law or any applicable governmental or regulatory authority. This paragraph shall survive termination of this Agreement.

• No amendment to these terms and conditions shall be effective unless agreed in writing and signed on behalf of Nxt Museum and yourself.

• Any terms and conditions, of whatever nature and howsoever called or described, which you apply and/or to which you refer are not applicable and are hereby expressly rejected by Nxt Museum.

• You accept that we shall not be liable to you in respect of anything which, may constitute a breach of these terms and conditions arising by reason of force majeure, namely, circumstances beyond our control (which shall include, but shall not be limited to, fire, flood, sabotage, embargo, strike or lock-out, riot, war, terrorism or acts of local government and parliamentary authority).
• You agree that the permission granted to you subject to these terms and conditions shall be governed by and interpreted in accordance with Dutch law, and you agree to submit to the exclusive jurisdiction of the court of Amsterdam, The Netherlands.
